aswritten.ai, operated by Synthetic Identity Co. (“SIC”), a Delaware corporation Effective Date: May 8, 2026

1. Introduction

These Terms and Conditions (“Terms”) govern your use of the aswritten.ai platform (the “Platform”), including our website, web admin, MCP server and tools, deployed AI agents, and related services (collectively, the “Service”), when accessed under a self-serve plan or in any other context not expressly governed by a Master Services Agreement.

The Platform is operated by Synthetic Identity Co. (“SIC,” “we,” “us,” or “our”). Setup, perspective construction, channel provisioning, operator training, and other professional services for engagement-grade deployments are performed by Penny and Damed Inc. (“PnD”), a New York S-corporation, as a subcontractor to SIC.

By using the Service, you agree to be bound by these Terms. We reserve the right to update these Terms; continued use after an update constitutes acceptance.

Relationship to the MSA. For Customers under a Master Services Agreement with SIC, the MSA and any applicable Statement of Work supersede these Terms where they conflict. These Terms continue to govern the Service’s standard rights, obligations, and posture, and remain the public reference.

2. Service Description

The Service enables Subscribers to construct, maintain, and consult a “Perspective” — the structured representation of an organization’s expertise — and to deploy AI agents grounded in that Perspective. Components include:

  • Perspective authoring tools. The MCP-based tool surface (perspective, cite, introspect, remember, review) plus a web admin
  • Perspective consultation. Any MCP-compatible AI tool can consult an installed Perspective and receive responses cited back to underlying memories
  • Perspective sharing. Subscribers may share a Perspective with others by share ID
  • Agent deployment (Team, Organization, and MSA-covered tiers). A Perspective may be deployed as an AI agent reachable on SMS, email, Slack, and other supported channels, with operator observability, draft mode, and human-in-the-loop override
  • Engagement services (Organization and MSA-covered tiers, performed by PnD). Consultant-led perspective construction, channel provisioning, operator training, and related setup and ongoing services

Specific features available depend on the plan or applicable SOW.

3. Eligibility

You must be at least 13 years of age. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account and Registration

  • You may register through aswritten.ai or by being designated as an Operator within a Subscriber organization.
  • You are responsible for the accuracy of your contact and billing information.
  • You are responsible for activity under your account, API credentials, channel identifiers, and operator authority.
  • You must not impersonate others or provide false information.

5. Plans and Billing

The Platform is offered in tiers as published on aswritten.ai. As of the Effective Date:

  • Free — read-only consultation of installed Perspectives. No memory creation; no agent deployment.
  • Expert — single-user authoring, with an SIC-Managed Repository.
  • Team — multi-user authoring with collaborative review, agent deployment to designated channels, and the option to connect a Customer-controlled GitHub repository.
  • Organization — engagement-grade tier, including consultant-led perspective construction, ongoing services, and Enhanced Deployment Options under a Master Services Agreement and Statement of Work.

Tier names, scope, and prices may change with notice. Active Subscribers retain their then-current pricing through their then-current term unless otherwise communicated.

Paid tiers are billed monthly through our payment processor (Outseta). You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees are not refundable except as required by law or as set out in your applicable SOW.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Send spam, unsolicited messages, or content that violates applicable law or platform terms
  • Deploy an agent to recipients who have not consented to receive messages through one of the opt-in paths described in Section 11
  • Deploy an agent that impersonates an individual other than the deploying Subscriber, or that misrepresents the agent as a human
  • Configure a Perspective or deployed agent to provide outputs you reasonably know to be false, fraudulent, or designed to deceive
  • Connect the Service to a data store you do not have authority to connect, or that contains data you have not been authorized to make accessible
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service
  • Use the Service to harass, abuse, or harm others
  • Upload malicious code, viruses, or harmful content
  • Reverse engineer or attempt to extract source code from the Service
  • Use the Service to build a competing product
  • Use the Service to provide professional advice (legal, medical, financial, or otherwise) to third parties without appropriate professional oversight, qualifications, and disclosures

7. Content and Intellectual Property

7.1 Customer Materials and Customer Perspective Data

You retain ownership of:

  • Customer Materials — the refined memory content you submit to the Platform.
  • Customer Perspective Data — the structured representation derived from Customer Materials and stored on Customer-connected infrastructure (where applicable).

By using the Service, you grant SIC a non-exclusive, non-transferable, royalty-free license to use Customer Materials and Customer Perspective Data solely for the purpose of providing the Service to you during the term, and as necessary for the Permitted Uses set forth in Section 7.4. This license terminates on termination, except as necessary for our export and deletion obligations.

7.2 Source Materials

The Platform does not receive or retain source materials (transcripts, documents, voice memos, recordings, or similar). You produce refined memory content using your own AI tooling, operating under your existing agreements with AI providers, and submit refined content to the Platform.

7.3 SIC-Managed Repositories

Free, Expert, and Team plans include SIC-provisioned GitHub repositories within an SIC-controlled GitHub organization (each, a “Managed Repository”) into which you may elect to write Perspective content.

  • Ownership. You retain ownership of content you write to a Managed Repository (“Managed Repository Content”).
  • Custody and infrastructure release. In consideration of the convenience of the Managed Repository feature, you release SIC and its affiliates, officers, directors, employees, agents, and subcontractors from any and all claims related to (i) SIC’s custody, storage, operational handling, security, availability, or infrastructure posture with respect to Managed Repositories; (ii) any exposure, loss, corruption, unauthorized access, or disclosure of Managed Repository Content; and (iii) your decision to place particular content (including sensitive, proprietary, or third-party content) in a Managed Repository.
  • Carve-outs. This release does not extend to claims arising from SIC’s willful misconduct or gross negligence; or to breaches of the SIC covenants in Section 7.4 (no training, use only for Service provision, no third-party disclosure).
  • Stewardship. SIC will apply commercially reasonable efforts to steward Managed Repository Content in good faith, including the access controls, encryption, and subprocessor architecture described in our Privacy Policy and Trust & Security Overview.
  • Migration. You may migrate Managed Repository Content to a Customer-controlled repository at any time. Once migrated, content is governed as Customer Perspective Data and is no longer subject to this release.

If you require heightened infrastructure commitments (specific retention windows, customer-controlled deletion, customer-controlled storage, jurisdictional residency, or end-to-end customer key management via on-premises deployment), connect a Customer-controlled repository or contact us about an Organization-tier engagement under an SOW.

7.4 No Training Use; Permitted Uses

We do not use Customer Materials, Customer Perspective Data, or Managed Repository Content to train, fine-tune, re-train, or otherwise update the weights, parameters, or embeddings of any machine-learning model — whether ours or any third party’s — except for:

  • Creating embeddings, indexes, or similar derived representations of your own content to support the Services we provide to you; and
  • As you expressly authorize in writing.

The no-training covenant does not prohibit us from reading, querying, or analyzing your content for: (a) operational monitoring, debugging, and incident response; (b) performance evaluation and quality measurement of Platform behavior; (c) deriving aggregated, anonymized, or de-identified usage metrics, structural observations, and statistical insights; and (d) using such aggregated, anonymized, or de-identified results to inform our ontology, Platform features, Service improvements, and our internal and external communications. Individually identifiable Customer content is not shared externally.

7.5 SIC Platform and Work Product

SIC owns and retains all right, title, and interest in the Platform, its underlying technology, methodology, ontology, models, software, documentation, and all derivative works (including all Work Product produced in performing the Service), excluding Customer Materials, Customer Perspective Data, and Managed Repository Content. You may not copy, modify, distribute, or reverse-engineer any of the foregoing.

7.6 Compiled Perspectives

A Perspective compiled from your content belongs to you. When you share a Perspective, recipients receive a right to consult the compiled Perspective — claims, structured knowledge, citations — not the underlying source memories.

8. AI-Generated Content

The Service uses third-party large language models for Perspective compilation, response generation, and Platform-internal processing tasks (memory extraction, claim identification, transaction generation, entity resolution, and provenance tagging).

8.1 Source of Truth

You are the sole source of truth regarding your own organizational knowledge, expertise, decisions, and materials. The Platform operates only on the materials you elect to provide it; responsibility for verifying the fidelity of Platform output to your organizational reality lies with you, supported by the Platform’s observability, provenance, and review interfaces.

8.2 Output Disclaimers

Platform outputs — Agent responses, compiled Perspectives, extracted claims, transactions, and other internally generated artifacts — are machine-generated and may contain errors, omissions, or content not reflective of your actual positions, policies, or knowledge. Outputs:

  • May not be accurate, complete, or appropriate
  • Should be reviewed before being relied upon for important decisions
  • Do not constitute professional advice of any kind (legal, medical, financial, or otherwise)
  • Reflect the Perspective you have constructed and the source content you have submitted; we do not warrant the semantic accuracy of either input or output

8.3 Customer Remedy

Your sole remedy for issues with Platform output — including inaccuracies, omissions, off-brand content, defamation concerns, IP concerns, or content you consider harmful to your interests — is your active use of the observability, review, and correction interfaces we provide (Front operator interface for deployed agents; MCP review tools for Perspective content; perspective management interface). Such issues do not constitute a defect in the Service.

8.4 Inference Providers and ZDR

All third-party LLM inference providers operate under zero-data-retention (ZDR) policies. We will notify you in advance of material changes; if we cease to operate under ZDR, your remedy is termination for cause.

8.5 Platform and Model Evolution

The underlying models and the Platform itself evolve. Observable Agent behavior may change. Material changes are communicated with reasonable notice; such changes are not a breach provided the Platform continues to perform substantially per its then-current documentation.

9. Source Privacy

Source memories are not exposed to other Subscribers, Operators outside the deploying Subscriber, or Recipients. Recipients receive the agent’s response with citations linking each claim to the underlying memory and actor where the deploying Subscriber has elected to surface that provenance — they do not receive the source memories themselves. Compilation is non-reversible.

10. Agent Deployments (Where Applicable)

Where you deploy an AI agent grounded in your Perspective:

  • Operator designation. You designate one or more Operators with authority to supervise the agent through the operator interface and intervene where judgment is required. Operators are responsible for monitoring deployed conversations, reviewing escalations, and updating the Perspective in response to identified gaps.
  • Recipient consent. You are responsible for obtaining consent from Recipients through one of the opt-in paths described in Section 11 before contacting them through any deployed channel.
  • Compliance. You are responsible for compliance with applicable laws governing automated messaging, AI disclosure, and consumer protection in the jurisdictions where Recipients are located, including TCPA, CAN-SPAM, GDPR, CCPA, and equivalents.
  • Pass-through of channel penalties. Any fines, penalties, fees, or assessments imposed against SIC arising from your channel usage are passed through to you dollar-for-dollar as Additional Fees, in addition to your indemnification obligations under Section 14.
  • Honoring opt-outs. You must honor opt-out requests received through any channel.

Recipients may opt out at any time per Section 11.

11. SMS and Other Channel Terms

11.1 Program

Where the Service is used to deploy an AI agent on SMS or another messaging channel, the program is operated by aswritten.ai (Synthetic Identity Co.) on behalf of the deploying Subscriber.

11.2 Description

Recipients interact with AI agents grounded in a deploying Subscriber’s documented expertise. Each agent responds with citations and discloses that it is AI operating on behalf of a named principal. Messages include responses, conversation continuations, and opt-in/opt-out confirmations.

11.3 Frequency

Varies based on the Recipient’s conversation activity.

11.4 Message and Data Rates

Message and data rates may apply. Contact your wireless carrier for details.

11.5 Opt-In

Recipients opt in through one of two paths:

(a) Submitting a phone number (or other channel identifier) to a web form that discloses that a message will be sent; or

(b) Initiating a conversation by reaching out to a deployed channel identifier provided by the deploying Subscriber as part of an existing relationship, in which case the deploying Subscriber is responsible for collecting consent at onboarding under its own consent practices.

11.6 AI Disclosure

Every deployed agent discloses that it is an AI agent operating on behalf of a named principal. Disclosure is built into the first interaction.

11.7 Opt-Out

Reply STOP to opt out at any time. Confirmation of opt-out will be returned. To resume, reply START.

11.9 Carrier Liability

Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your wireless carrier or platform provider.

11.10 Supported Platforms

Major US carriers and supported channel platforms (Front, Twilio, Slack, others as supported). Platform support is subject to change.

12. Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

We will not share your phone number or personal information with third parties for marketing purposes.

13. Disclaimer of Warranties

EXCEPT FOR THE LIMITED PLATFORM WARRANTY (THE PLATFORM WILL PERFORM IN SUBSTANTIAL CONFORMANCE WITH ITS THEN-CURRENT DOCUMENTATION), THE SERVICE AND PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ERROR-FREE OPERATION. WE MAKE NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR APPROPRIATENESS OF AGENT OUTPUT OR PLATFORM-INTERNAL MODEL-GENERATED ARTIFACTS.

14. Indemnification

14.1 SIC Indemnifies You

We will defend, indemnify, and hold harmless you from third-party claims alleging that the Platform itself (its code, architecture, interfaces, and documentation as authored and distributed by us) infringes a U.S. patent, copyright, or trademark. This obligation does not extend to: (a) Customer Materials or Customer Perspective Data; (b) modifications to the Platform not made by us; (c) combination of the Platform with other products or services not provided or authorized by us; (d) use of the Platform outside the scope of these Terms; or (e) the semantic content of Agent output or Platform-internal model artifacts (governed exclusively by Section 8).

14.2 You Indemnify SIC

You will defend, indemnify, and hold harmless SIC and its officers, directors, employees, agents, and subcontractors (including PnD and Scarlet Dame as third-party beneficiaries) from third-party claims arising from or related to:

(a) Customer Materials, Customer Perspective Data, or Managed Repository Content;

(b) Agent output or Platform-internal model artifacts, and any reliance thereon by you or any third party, including claims that such output was inaccurate, misleading, defamatory, infringing, or caused harm;

(c) Your failure to use the observability, review, and correction interfaces;

(d) Your use of the Service in breach of these Terms or applicable law;

(e) Personal injury or property damage caused by your negligence or willful misconduct;

(f) Your non-compliance with channel-provider terms or applicable regulatory regimes (TCPA, CAN-SPAM, GDPR, CCPA, and equivalents); and any fines, penalties, fees, or assessments imposed against SIC arising from your channel usage shall be passed through to you dollar-for-dollar as Additional Fees, payable within fifteen (15) days of invoice;

(g) Your architectural choices regarding data co-location and connection scope.

15. Limitation of Liability

EXCEPT FOR BREACHES OF SECTION 7.4 (NO TRAINING USE) OR YOUR CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS CAP DOES NOT APPLY TO: (A) OUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 14.1; (B) EITHER PARTY’S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE; OR (C) YOUR PAYMENT OBLIGATIONS, INCLUDING ADDITIONAL FEES UNDER SECTION 14.2(F).

We have no liability for the accuracy, completeness, or appropriateness of Agent output or Platform-internal model-generated artifacts; your sole remedy for such issues is set forth in Section 8.

16. Term and Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access at any time for material breach of these Terms, on thirty (30) days’ notice with opportunity to cure where the breach is curable, or immediately for breaches that cannot be cured. You may stop using the Service at any time; cancellation of paid plans takes effect at the end of the current billing period.

On termination: (a) your right to use the Service ceases; (b) Customer Perspective Data on Customer-connected infrastructure remains under your control; (c) Managed Repository Content is exportable for thirty (30) days following termination, then deleted from production systems within sixty (60) days subject to ordinary backup-retention rotation; (d) provisions that by their nature should survive (including Sections 7, 8, 12, 13, 14, 15, 17) remain in effect.

17. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Disputes will be resolved by binding arbitration in New York, New York under the AAA Commercial Arbitration Rules, except that either party may seek equitable relief in the state and federal courts located in New York, New York. Each party irrevocably waives any right to trial by jury.

18. Changes

We may update these Terms from time to time. Material changes will be communicated by posting an updated version and updating the effective date. Continued use after the effective date of an update constitutes acceptance.

19. General

Assignment by you requires our prior written consent (not unreasonably withheld); we may assign to an affiliate or successor in connection with a merger, acquisition, or sale of substantially all assets. Failure to enforce any provision is not a waiver. If any provision is unenforceable, the remainder remains in effect. These Terms (together with the Privacy Policy and any applicable SOW or MSA) constitute the entire agreement on their subject matter for self-serve users; for MSA-covered Customers, the MSA controls per its own integration clause.
